WASP NEW ZEALAND LIMITED TERMS OF CONNECTION See also the Terms and Conditions and the Acceptable Use Policy documents as these also make up part of the terms and conditions of use. GENERAL PRINCIPALS WASP New Zealand Limited (WASP NZ) aims to be a good corporate citizen, with regard for all interests in the community. Our industry is on the leading edge of technology, requiring us to constantly update our systems and equipment. As you will appreciate, your prompt payment assists us in doing this. APPLICATION - PRIVACY ACT 1993 By applying for connection and signing a subscription application : * You authorise WASP NZ to obtain information about you from the named credit references, and the named credit references to provide information about you to WASP NZ; * You authorise WASP NZ to make credit and other enquiries about you from credit reference agencies to disclose credit and other information about you to WASP NZ; AS A SUBSCRIBER TO ANY OF THE WASP NZ SERVICES YOU AGREE: 1. That you will pay any specified non-refundable subscription charge (as notified on the WASP NZ Web pages) for the services to which you subscribe. 2. That you will pay all charges incurred by the accounts you have subscribed to, including but not limited to time and/or traffic charges, in full by the due date indicated on the invoice. 3. That you will maintain the security of your account(s). You agree not to give your password to anyone else, to choose a password that is not easily guessed, and to change your password when requested to do so by WASP NZ. The password to your account is the only means of stopping others from gaining access to your account. 4. That the services that you subscribe to are for your use alone. You agree not to allow any other party to use the services you have subscribed to, without making arrangements with WASP NZ in advance. 5. That you are responsible at all times, for any use of the services to which you have subscribed. 6. To notify WASP NZ if you suspect that another party may have gained access to your accounts, or be making use of any of the services to which you have subscribed. 7. To act at all times within the Laws of New Zealand, and the Laws of any other country that may be applicable. Without restricting the generality of the previous sentence, you agree not to use the services you have subscribed to for any illegal, unlawful, or offensive act including but not limited to the following: * Uploading or transferring any illegal or offensive material. The transfer of offensive material via the Internet is defined by WASP NZ as being material that is injurious to others either through loss of dignity or physical harm. * Uploading or transferring any copyright files, pictures or software, without the permission of the copyright owner. * In any way causing, or helping to cause, the security or integrity of this or any other computer system to be compromised. 8. To be a responsible citizen of the Internet. Without limiting the generality of the previous sentence, you agree to respect the privacy of other Internet users, and that you agree that any messages that you post to Internet forums will be within the topic of discussion for those groups. You will refrain from any mass E-mail's to parties that you do not know. 9. To notify WASP NZ in writing 30 days before when your account is no longer required. You agree that until this is done, you are responsible for anything done with the services to which you have subscribed, and any charges incurred through the use of those services are payable by you. 10. To remove any of your material from the system as soon as reasonably possible to keep the space used by your files on the system to a minimum. 11. WASP NZ, it's employees and contractors will not be responsible or accountable for damage for any claims made by third parties in relation to the services of WASP NZ to which you have subscribed. 12. All accounts are payable by the due date. If the account is not paid within 30 days after the due date, our debt collection agent may charge you a fee equal to 25% of the unpaid portion of the price, but not less than $25.00. Where the total debt collection agency costs, legal and other costs arising from the collection of any amount owing exceeds the debt collection fee charged, our debt collection agent is also entitled to recover such additional costs from you. This clause is intended to be for the benefit of and enforceable by our debt collection agent under the Contracts Act 1982. 13. That WASP NZ is authorised, following default or failure by you to comply with WASP NZ Terms and Conditions, to use or disclose information about you for the purposes of enforcing WASP NZ Terms and Conditions or of recovering amounts owing by you to WASP NZ, to the extent reasonably required for such purpose. WASP NZ, AS PART OF THIS AGREEMENT WILL: 1. Utilise its best efforts to make all services available to subscribers where this is reasonably possible. WASP NZ will take all reasonable care and effort to ensure that all the services you have subscribed to are available 24 hours a day where this is reasonably possible. 2. Take all reasonable measures to restore the services offered as soon, as is reasonably possible, in case of any system malfunction. 3. Provide a Help Desk service to assist you with problems during normal helpdesk hours. WASP NZ will provide a voice mail service 24 hours a day where queries and requests for assistance may be left. Any queries or requests left on the voice mail service outside normal help desk hours will be attended to on the next working day. 4. Monitor your usage of the system for the purposes of assessing any charges, including but not limited to usage charges, which are payable by you, and also for the purpose of ensuring your use of the system complies with the terms and conditions stated here. 5. Monitor the system and take all reasonable precautions possible to prevent the compromise of system security. 6. Inform you, in email or by posting a message in an appropriate location on the system or by any other appropriate means, of any changes to the usage charges, or any other charges for using the services to which you have subscribed. For the purposes of certainty the phrase "an appropriate location on the system" includes, but is not limited to, placing a message in the WASP NZ pages on the World Wide Web or sending an email message to you. WASP NZ RESERVES THE RIGHT TO: 1. Refuse the subscription to any services without giving a reason for such refusal. 2. 2. Terminate any, or all, services that you have subscribed to if you violate any of the above conditions to which you have agreed. USAGE CHARGES: 1. WASP NZ charges for time online or any traffic transferred between your computer and any other computer via the WASP NZ system. These usage charges apply to both data transferred to your system, and data sent by your system
